Contracts Manager at Moovel Transit

The Job:

The Contracts Manager ensures consistent management of all proposals and agreements related to moovel’s contracts – with a specific focus on transit agency client contracts. The Contracts Manager works in close collaboration with various internal teams including Account Management, Business Development, Product, Finance and Engineering. This position is part of the Account Management team and reports to the VP of Accounts, but may spend up to 75% of the time working with moovel’s General Council on various contract related issues, and is based at the Company’s headquarters in Portland, Oregon.

What You Will Be Doing:

Account Management

Attend weekly Account Management meetings
Participate in strategic discussions related to Transit Agency client management and contract related issues
Proactively troubleshoot and identify potential legal issues and provide strategic advice
Provide legal analysis related to contract provisions and requirements
Assist in the drafting of formal correspondence related to Transit Agency client contracts/proposals
Assist in the negotiation (if needed), drafting and reviewing of contract Amendments, Change Orders, Subcontracts and other related legal documents
Monitor contract timelines and deliverables and work with relevant Account Managers and the VP of Accounts to facilitate completion of tasks
Facilitate the set-up of client escrow accounts
Maintain transit agency contract deadlines tracking system
Business Development

Perform first draft reviews of contract related provisions in RFP’s, RFQ’s and exceptions for General Council review
Assist in negotiations related to RFP exceptions, contract language, and other legal documents
Work with General Council in drafting and finalizing legal documents
Assist in securing relevant insurance coverages (working with moovel’s insurance broker, CFO and General Council to ensure coverages meet contract requirements)

Update General Council on activities/issues related to transit agency contracts
Assist in the review and/or drafting of contract related documents – including NDA’s, Master Services Agreements, Sponsorship Agreements, Vendor Agreements, etc
Coordinate and assist in moovel contract development and management activities and help enforce organizational principles of integrity and compliance
Work with General Council and relevant moovel teams to identify and develop standard contracts/agreements for various transit related products and vendor and professional services contracts
Draft contract provisions based on strategy discussions with moovel teams and General Council guidance
Work with moovel’s General Council to provide legal analysis and advice on various contractual provisions
Monitor contract requirements and deadlines and communicating on an ongoing basis with relevant moovel teams with regard to those requirements.

Assist General Council to provide legal analysis and advice to Product as needed – work includes assisting in contract negotiations, contract drafting/editing and assisting in final contract execution
Work with Product Managers (and Account Managers) during review and analysis of contract requirements, to identify areas and/or opportunities to align contract requirements with moovel’s products or when necessary to ensure product meets contract requirements

moovel’s main point of contact for all insurance related matters
Provide advice on invoicing, pricing and other questions related to transit agency contracts
Desired Skills and Experience:

Extensive experience reviewing and editing contracts with a preferred focus on commercial and government contracts
Bachelor’s degree in business, accounting, or law related field preferred.
Prior work experience in a contract management role, such as purchasing or contracting.
Proficiency in utilizing and interpreting financial models and analyses.
Experience in applying organizational standards when developing requests for proposals, negotiating terms and drafting contracts.
Ability to systematically analyze complex problems, draw relevant conclusions and implement appropriate solutions.
Strong verbal and written skills, and ability to convey complex information in a way that others can readily follow.
Excellent negotiating and persuasive skills, both in one-on one and group situations.
Experience at a law firm or as a paralegal
Experience in technology or software field
