About the Role

We are looking for a Transactions Associate reporting to the Director of Legal.  The ideal candidate has experience in, and a passion for, commercial real estate investing.  As Transactions Associate, you will be responsible for assisting in the legal review of issuer offering and governance documents, and managing the legal review process from initial sponsor contact through marketplace posting.

What you’ll be doing:

  • Review issuer offering and governance documents, including, but not limited to, private placement memorandums, operating agreements, and subscription agreements to ensure conformance with marketplace standards, continuity, and alignment with other Issuer offering documents

  • Review issuer structures and terms to ensure they meet industry standards

  • Resolve errors or incongruencies within issuer documentation

  • Review summaries of terms that appear on the marketplace to ensure consistency with legal documentation

  • Manage legal review process and document management from initial sponsor contact through marketplace posting.

What you must have:

  • Minimum of two (2) years real estate transactions experience through relevant work experience in real estate private equity, commercial real estate, or investments

  • Experience with 506(c) and 506(b) offerings

  • Understanding of offering and governance documents, and general principles of contract.

  • Meticulous attention to detail

  • Passion for learning

  • Ability to smoothly rotate your concentration from one activity to another and prioritize effectively

What is nice to have:

  • Undergraduate degree in finance or business administration.

  • Juris Doctor degree from an accredited law program.

  • Securities legal experience.
