To support our company’s rapid growth, we are hiring a Real Estate Transactions Counsel reporting to the VP of Investments to join our team to develop and implement investment strategies for our clients.

What You'll Be Doing

  • Review Issuer offering and governance documents, including, but not limited to, private placement memorandums, operating agreements, and subscription agreements to ensure conformance with marketplace standards, continuity and alignment with other Issuer offering documents.

  • Resolve  errors or incongruencies with offering pro formas; ensure conformance to pro formas and other sponsor-provided documents.

  • Develop a set of legal standards for marketplace Issuer offering and governance documents, including standardizing provisions in operating agreements to maintain consistency between all CrowdStreet marketplace transactions.

  • Provide thought leadership to the Investments deal team regarding the sponsor due diligence process, including all transactional and due diligence functions, general contract  and sponsor evaluation matters.

  • Produce thought leadership content (both sponsor and investor facing) on how to produce and review online investor documents.

  • Oversee all transactional and due diligence functions related to sponsor documents, financings and general contract matters.

  • Collaborate with outside CrowdStreet counsel on the creation of legal documents on CrowdStreet Investments offerings. Serve as the primary point of contact within CrowdStreet to drive completion of CrowdStreet Investments offering materials; ensure continuity and adherence to CrowdStreet Investments’ standards.

  • Work cross-departmentally to educate CrowdStreet staff on Issuer related matters.

What We Must Have

  • Juris Doctor degree from an accredited law program

  • Minimum of  two (2) years real estate transactions experience through relevant work experience in real estate private equity, commercial real estate, or investments

  • Experience with 506(c), 506(b) and Reg A+ offerings

  • Knowledge of FINRA compliance requirements

  • Meticulous attention to detail, and strong negotiating skills

Not Required, But Nice to Have

  • Undergraduate degree in finance or business administration

  • Securities legal experience
